Position Title: Head of Legal, Compliance & Company Secretary

Reports to: Chief Executive Officer

Location: Eswatini - Mbabane

 

Main Purpose of the Job

  • To be responsible for legal counsel and compliance including oversight on governance and adherence to country laws, regulatory requirements, policies and procedures.

Education & Experience            

  • Bachelor of Laws degree (LLB)
  • Master’s (LLM) would be an added advantage
  • Must be an admitted Attorney in the High Court of Eswatini.
  • Minimum of 5 years of experience across strategic and senior management functions in compliance management.
  • At least 3 years experience in financial/banking institutions or strategic advisory functions
  • Experience working in fast-paced, entrepreneurial environment.
  • Proven ability to execute effectively against strategy and exceed goals consistently.
  • Member in law society/professional institute.
  • Critical Roles & Responsibilities.
  • Develop and implement the Country Corporate Compliance Programme.
  • Reports to the country CEO and Board of Directors regularly to review progress on programme implementation and establish improvement plans.
  • Ensures adherence to local laws and regulatory requirements.
  • Provide legal advice to the business including new and upcoming projects.
  • Ensures and monitors compliance with local and international laws/standards about Market Abuse, Insider Trading, Conflicts of Interest, Market Conduct, and Employee Compliance.
  • Encourages staff to report suspected fraud or impropriety without fear of retaliation.
  • Provides legal advice for the business to grow within the regulatory framework.
  • Provide company secretarial services to the Local Board.
  • Implement the strategies and policies approved by the Board, and develop processes that adequately identify, measure, monitor and control Risks faced by the institution.

 

Knowledge        

  • Knowledge of country regulatory of the financial/banking services industry and legislation including microfinance.
  • Good understanding of corporate governance, regulatory and financial compliance requirements.
  • Environmental, Social and Corporate Governance (ESG), social impact and sustainability framework.

Skills    

  • Ability to work under pressure and perform tasks with limited direction.
  • Ease at managing competing demands and determining top priorities independently.
  • Outstanding organizational skills, excellent verbal and written communication skills.
  • Strong interpersonal skills, ability to communicate and interact on behalf of the Executive Team with a wide range of constituencies in a diverse community.
  • Ability to work collaboratively with CEO, principals, and executive team members.
  • Ability to supervise and manage multiple projects at the same time.
  • Ethical, proactive and initiative-taking when completing tasks.
  • Ability to engage with potentially hostile audiences and embed compliance.
  • Good Presentation Skills.
